Introduction

Welcome to Fanscope, a media company leveraging blockchain technology to offer a platform where fans and creators can engage in rewarding interactions within various categories such as music, film, sports, and gaming. These Terms of Service ("Terms") govern your use of Fanscope and the services we provide, including our website, mobile applications, and any other features, content, or applications offered by Fanscope (collectively, the “Service”). We ask that you read through this document carefully and be sure that you understand it. If you do not understand or accept any part of it, then you may not use the Service. By accessing or using Fanscope, you warrant that you will comply with and be bound by these Terms.

Account Registration

To access certain features of Fanscope, you will be required to create an account. Upon doing so, you agree to: Provide accurate, current, and complete information during the registration process. Maintain the security of your account password and wallet keys/seed phrase, and accept all risks of unauthorized access to your account and the information you provide. Notify the platform immediately if you discover or suspect any security breaches related to Fanscope or your account.

Eligibility

Age Requirements:

You must be at least 18 years old to use Fanscope. By using Fanscope, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Businesses:

If you are using the Service on behalf of a company or organization, you represent that you have authority to act on behalf of that entity, and that such entity accepts this Agreement.

User Conduct

Prohibited Activities:

Users must not engage in any of the following activities:

Engaging in fraudulent activities, spreading false or misleading information, or using the platform for any illegal or unauthorized purposes; Using multiple accounts to gain an unfair advantage and engage in platform manipulations through promo abuse, affiliate fraud, sharing resources, circumventing suspensions or terminations, selling accounts, or causing any inaccurate measurements of genuine user engagement within the Service; Wrongfully sharing someone else's intellectual property;

Using Fanscope to distribute unsolicited promotional or commercial content or other unwanted solicitations; Attempting to hack, disrupt, compromise, or interfere with the security, integrity, and functionality of the platform; Accessing Fanscope using automated means such as robots, botnets or scrapers;

Collecting or harvesting any information that might identify a person (for example, usernames, email addresses or faces), unless permitted by that person; Attempting to gain unauthorized access to any portion of Fanscope, or any other systems or networks connected to Fanscope; All activities listed below under “Respectful Engagement”.

Respectful Engagement:

Fanscope values and is committed to fostering a respectful and inclusive community. Users are expected to interact with each other in a considerate manner, and to contribute to a positive environment. Prohibited activity within this sphere includes, but is not limited to: Engaging in any form of harassment, discrimination, or hate speech based on race, ethnicity, gender, sexual orientation, religion, or any other characteristic;

Posting or sharing content that is defamatory, obscene, offensive (maybe leave out as outlined above), or otherwise inappropriate; Misusing any reporting, flagging, complaint, or dispute process, including by making groundless, vexatious, or frivolous submissions.

Content/Intellectual Property

Reservation:

Using the Service does not give you ownership of or rights to any aspect of the Service, including Usernames or any other Content posted by others or Fanscope.

Permissions and Restrictions:

All content available on Fanscope, including but not limited to text, graphics, logos, and software, is the property of the platform or its content creators and is protected by intellectual property laws. Fanscope participants are not permitted to access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify or distribute any content without proper authorization. Content is the responsibility of the person or entity that provides it to the Service. Fanscope is under no obligation to host or serve Content.

Uploading Content:

If you have a Creator Profile, you will be able to upload content to Fanscope. You may use this content to promote your business or creative enterprise. You may not submit any content that does not comply with this Terms of Service or the law. For example, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for all content you submit to Fanscope. We may at any point use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

Removal of Content:

If any of your content is found to be in breach of these Terms, or may cause harm to Fanscope, its users, or third parties, we reserve the right to remove or take down some or all of your content at our discretion. We will notify you with the reason for our action unless we reasonably believe that to do so:

Would breach the law or the direction of a legal enforcement authority or would otherwise risk legal liability for Fanscope; Would compromise an investigation or the integrity or operation of the Service; Would cause harm to Fanscope, any of its users, or any third party.

NFTs and Digital Assets

Fanscope allows users to buy, sell, and trade non-fungible tokens (NFTs) and other digital assets. You acknowledge and agree that: All transactions involving NFTs and digital assets are final and non-refundable; Fanscope is not responsible for any losses or damages arising from transactions involving NFTs and digital assets; You are responsible for complying with all applicable laws and regulations related to NFTs and digital assets.

Financial

Rewards:

Fanscope is designed for entertainment purposes, providing users with diverse content and experiences; it employs a reward-based mechanism for utility on the platform. While we strive to create an engaging and enjoyable experience for our users, Fanscope does not guarantee any financial rewards. The rewards provided are intended for platform utility and should not be considered as financial compensation or investment.

Platform Fees:

We may charge fees for certain features or services offered through Fanscope. All fees are non-refundable unless otherwise stated. We reserve the right to change our fees at any time, and will provide users with notice of any changes before they take effect.

Third Party Wallets: MetaMask and other electronic wallets allow you to purchase, store, and engage in transactions using cryptocurrency. Any transaction that occurs via MetaMask or any third party company that provides an electronic wallet also incurs a gas fee. Fanscope has no control over any of these fees or transactions, and has no ability to to reverse any transactions. Fanscope will not be not liable for acts or omissions of any of these third parties, nor for any damage that you may suffer as a result of your transactions or any other interactions with any such third parties.

Account Suspension/Termination

By Fanscope:

Fanscope reserves the right to terminate or suspend your account and access to the platform at our sole discretion, without prior notice, for any reason, including but not limited to violation of any of these Terms. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease.

By The User:

A user is free to stop using Fanscope at any time. Follow the instructions in the Resources section to delete your account; there will be a different set of directions for a Creator Profile than for a Fan Profile.

Disclaimer of Warranties

Other than as expressly stated in this agreement or as required by law, the Service is provided on an "as is" and "as available" basis. We do not warrant or make any specific commitments that the platform will be uninterrupted or error-free. Fanscope does not make any warranties about the content provided within, nor the specific features of the Service, or their accuracy, reliability or ability to meet your needs. Fanscope disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, non-infringement, and fitness for a particular purpose.

Limitation of Liability

To the fullest extent permitted by law, Fanscope shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with the use of the Service or these Terms. Whether incurred directly or indirectly, this includes, but is not limited to, any loss of profits, revenue, data, goodwill, business opportunities, anticipated savings, or other intangible losses resulting from: Your use or inability to use Fanscope;

Any interruption or cessation of transmission to or from Fanscope;

Errors or inaccuracies on Fanscope;

Any viruses or malicious code transmitted to or through the Service by any third party;

Any unauthorized access to or use of our servers and/or any personal information stored therein.

Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Fanscope, its employees and affiliates, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the Service;

Your violation of any of these Terms;

Your violation of any third party right, including without limitation any copyright, property, or privacy right;

Any claim that your Content caused damage to a third party.

This defense and indemnification obligation will survive this Agreement and your use of the Service.

Modifications to the Terms

Fanscope reserves the right to modify these Terms at any time. If material changes are made, Fanscope will provide notice as required by law. Any changes will be effective immediately upon posting the revised Terms on the platform. It is your responsibility to review these Terms periodically for updates. Continued use of the platform following the posting of changes constitutes acceptance of those changes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in Hong Kong S.A.R, without regard to its conflict of law principles.
